Vendor Agreement for FinditZ
This Vendor Agreement (“Agreement”) is entered into between FinditZ and the Vendor (“Vendor” or “You”) as of the date of acceptance of these terms.
1. Acceptance of Terms
By accessing or using the services provided by FinditZ, including, but not limited to, posting listings, responding to inquiries, or engaging in transactions with users, you agree to be bound by the terms and conditions of this Agreement. If you do not agree with these terms, your access to FinditZ may be revoked.
2. Services Provided
FinditZ is an online platform that allows Vendors to list items or services for sale and enables users to browse, search, and interact with these listings. FinditZ does not own or sell any of the items or services listed on the platform and acts only as a facilitator of transactions between Vendors and users.
3. Vendor Responsibilities
As a Vendor on FinditZ, you agree to:
- Provide accurate and truthful information about the items or services you list.
- Comply with all applicable laws and regulations governing the sale and distribution of your products/services.
- Respond promptly to inquiries from users and provide excellent customer service.
- Fulfill orders in a timely manner and accurately represent the condition of the items or quality of services offered.
- Maintain the confidentiality of user information and protect their privacy in accordance with applicable privacy laws.
4. Fees and Payments
Listing items or services on FinditZ is free of charge. However, FinditZ may charge fees for premium features or services in the future, and Vendors will be notified of any such fees in advance. By using these premium features or services, you agree to pay the applicable fees as outlined by FinditZ.
5. Intellectual Property
You retain ownership of any intellectual property rights associated with the items or services you list on FinditZ. By posting listings on the platform, you grant FinditZ a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display the content for the purpose of operating and promoting the platform.
6. Termination
FinditZ reserves the right to terminate or suspend your account and access to the platform at any time for violation of this Agreement or for any other reason deemed appropriate by FinditZ. In the event of termination, you will remain liable for any outstanding obligations or liabilities incurred prior to termination.
7. Disclaimer of Warranties
FinditZ provides the platform and services on an “as is” and “as available” basis without any warranties of any kind, express or implied. FinditZ makes no representations or warranties regarding the accuracy, reliability, or completeness of the information provided on the platform or the quality of any products or services offered by Vendors.
8. Limitation of Liability
In no event shall FinditZ be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the platform or services, even if FinditZ has been advised of the possibility of such damages. FinditZ’s total liability to you for any claims arising out of or related to this Agreement shall not exceed the total fees paid by you to FinditZ in the twelve (12) months preceding the claim.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles. Any disputes arising out of or related to this Agreement shall be resolved exclusively in the courts of [Jurisdiction].
10. Entire Agreement
This Agreement constitutes the entire agreement between you and FinditZ regarding the subject matter herein and supersedes all prior or contemporaneous agreements, representations, and understandings, whether oral or written.
By accepting this Agreement, you acknowledge that you have read, understood, and agree to be bound by its terms and conditions.
